The problem

The PDF says everything is fine. The people reading it have learned not to believe that.

A due diligence lives in a folder, a spreadsheet and a chat thread. A partner, a family member, a bank, a buyer each ask the same three things: what is actually verified, what is still open, and what changed since I last looked. A brochure cannot answer them. A data room can, because it is built from the answers.

One room, two sides

One place for everything you learn about the land.

The land section writes itself from the parcel's TERRA reading. Everything else you write once and mark by how well you know it: verified, third party, the seller's word, under diligence, projection, vision. Documents are an index of what is held, what was asked for and when, and what is still to ask for. The board holds what must be true before money moves, with who owes the next step and by when.

The door

A passphrase, and a name at the door.

You give the passphrase out one person at a time. Each reader types an email on the way in, so a forwarded phrase shows up as a new name. Twelve-hour sessions; rotate a phrase whenever it may have travelled.

The record

Every claim, marked by how well it is known.

Six marks, printed beside every figure in the prose and listed in full in the register with the source and the date. The caveat you would want raised against you sits on the row, not in a footnote.

The board

What must be true before money moves.

Each condition carries two marks that never merge: the paper you hold, and whether a named person says it is met. A mark shows a colour only after you sign for it, and goes grey again after fourteen days or the moment its source changes.

The readers

Who opened what, and who asked for more.

Every entry, every page, every registration. When a reader asks for the next tier the request lands here and in your inbox. Nobody else sees any of it.

Your numbers stay yours

  • A row above a reader’s tier is never built into the page. It is absent, not hidden.
  • Documents are listed, not served. What is held, what was asked for and when, what is still to ask for.
  • Passphrases are hashed on the way in and never shown again. Rotate one and the old phrase is dead.
  • The readers log is yours alone. No reader ever sees another reader.

What a data room is not

A room carries no priced seats, no intent forms and no interest book. It shows people you know the state of a piece of land, with the evidence marked. If you are raising money from strangers, this is not the tool, and the room says so on every page.
